Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Brixor, Inc. ("Brixor," "we," "us," or "our") governing your access to and use of the Brixor contractor management platform available at brixor.ai (the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

You must be at least 13 years of age to use the Service. By using the Service, you represent that you meet this age requirement. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2. Account Registration and Security

To access most features, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account information up to date
• Maintain the confidentiality of your password and API keys
• Be responsible for all activity that occurs under your account
• Immediately notify us at support@brixor.ai of any unauthorized access

You may not share your account credentials with others. Each person must have their own account. Brixor reserves the right to suspend accounts that violate these requirements.

3. Subscription Terms and Pricing

Free Tier

The free tier includes the following limits:

• Up to 2 AI-generated estimates per month
• Up to 2 active projects at a time
• Access to basic estimate and invoice templates
• No payment processing features

Free tier users are subject to lower API rate limits (60 requests/minute).

Premium Tier

Premium includes:

• Unlimited AI-generated estimates
• Unlimited projects and clients
• Contract generation and PDF export
• Invoice management and payment tracking
• Full REST API access (300 requests/minute)
• Priority customer support

Free Trial

New Premium subscribers receive a 7-day free trial. No credit card charge occurs during the trial period. If you cancel before the trial ends, you will not be charged.

Billing and Cancellation

• Subscriptions are billed monthly in advance on the date you subscribed
• You may cancel at any time from Settings → Billing; cancellation takes effect at the end of the current billing period
• No refunds are issued for partial months. If you cancel mid-month, your access continues until the period ends
• Price changes will be communicated with at least 30 days' notice via email
• Brixor reserves the right to modify pricing with 30 days' notice

Payment Processing

All payments are processed securely by Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis. If a payment fails, we will retry up to 3 times before suspending your Premium access.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable federal, state, or local law or regulation
• Infringe the intellectual property rights of others
• Transmit spam, malware, or any harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Scrape or harvest data from the Service using automated means without permission
• Use the AI estimate feature for purposes other than legitimate contractor business
• Resell or sublicense access to the Service without written permission from Brixor
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of the Service

Brixor reserves the right to suspend or terminate accounts that violate this policy without prior notice.

5. Data Ownership

You own your data. All business data you create using Brixor — including projects, estimates, invoices, contracts, and client information — belongs to you. Brixor claims no ownership over your business data.

By using the Service, you grant Brixor a limited, non-exclusive license to store, process, and display your data solely for the purpose of operating and providing the Service to you. This license ends when you delete your account.

You may export your data at any time from Settings → Export Data. Upon account deletion, your data is permanently removed within 90 days, except where retention is required by applicable law.

We do not use your business data (estimates, client names, project details) to train AI models.

6. Intellectual Property

The Brixor platform, including its software, design, trademarks, logos, and documentation, is owned by Brixor, Inc. and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your own internal business purposes. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our written consent.

If you submit feedback or suggestions about the Service, you grant Brixor a perpetual, irrevocable, royalty-free license to use that feedback without any obligation to you.

7. Limitation of Liability & "As-Is" Disclaimer

Software Provided "As-Is"

BRIXOR IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, BRIXOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, 100% SECURE, OR THAT ANY AI-GENERATED ESTIMATE, TEMPLATE, OR CONTRACT WILL BE LEGALLY VALID, FINANCIALLY ACCURATE, OR COMPLIANT WITH YOUR LOCAL LAWS.

Zero Liability for Professional Output

Brixor operates exclusively as a software tooling platform for independent contractors. We are not your employer, partner, legal counsel, or financial advisor. You absolutely agree that Brixor and its officers, directors, employees, and agents shall bear ZERO LIABILITY and shall not be held responsible for:

• Financial Losses: Any loss of revenue, lost clients, bankruptcy, or diminished goodwill resulting from your use of the Service.
• Estimating Errors: Underbidding a project, losing a bid, or suffering material cost fluctuations due to reliance on our AI-generated estimates. All AI estimates are purely theoretical baselines and you are strictly mandated to manually verify all quantities, labor rates, and local code requirements before submitting any proposal to a client.
• Client Disputes: Any legal disputes, unpaid invoices, or breach of contract claims between you and your clients. You assume total responsibility for the execution and fulfillment of any contracts drafted through our platform.
• Physical Damages & Accidents: Any property damage, construction defects, physical injuries, or accidents that occur on job sites managed through our platform.

Maximum Financial Cap

UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL BRIXOR'S TOTAL, CUMULATIVE AGGREGATE LIABILITY TO YOU OR ANY THIRD PARTY FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE TOTAL AMOUNT YOU PAID TO BRIXOR IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE CLAIM. BY USING THIS SERVICE, YOU EXPLICITLY WAIVE YOUR RIGHT TO SUE BRIXOR FOR ANY AMOUNT EXCEEDING YOUR MONTHLY SUBSCRIPTION FEE.

8. Dispute Resolution

Before filing a formal legal claim, you agree to first contact us at legal@brixor.ai to attempt to resolve the dispute informally. We will make a good-faith effort to resolve the issue within 30 days.

If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You waive any right to bring or participate in a class action lawsuit.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

10. Termination

Termination by You

You may terminate your account at any time from Settings → Account → Delete Account. Deletion is permanent and all data will be removed within 90 days. You will not receive a refund for any remaining prepaid subscription period.

Termination by Brixor

Brixor may suspend or terminate your account immediately, without prior notice, if you:

• Violate these Terms or the Acceptable Use Policy
• Engage in fraudulent, abusive, or illegal conduct
• Fail to pay subscription fees
• Create risk or legal exposure for Brixor

Upon termination for cause, your right to use the Service immediately ceases. Brixor is not liable for any loss resulting from termination for cause.

11. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice for material changes via email to your registered address and via a notice on the Service.

Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and delete your account.
